This End User License Agreement (“Agreement”) is between you and 100 Coffees Inc., a Delaware corporation (“Company”, “we”, “our,” or “us”).
This Agreement is between you and 100 Coffees Inc., not Apple Inc. or Google LLC. Apple and Google are not responsible for the App or its content.
By downloading or using the 100 Coffees mobile application (“App”), you agree to be bound by this Agreement.
Your use of the App is also governed by our Privacy Policy, which outlines how we collect and use your information.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal, non-commercial use in accordance with this Agreement and the applicable terms of service of the app store from which you downloaded the App.
2. Nature of the App and Our Role
The App facilitates social meetups by helping users connect for in-person conversations at public venues such as coffee shops. 100 Coffees Inc. is not a party to, and is not responsible for, any offline meetings or interactions between users.
While we strive to create meaningful and respectful group experiences, we do not guarantee specific outcomes, including:
A particular gender balance or age distribution at meetups.
That you will not encounter repeat participants, especially if prior feedback was neutral or positive.
Compatibility or chemistry with other participants.
The App may recommend third-party venues based on location and publicly available data (e.g., photos or reviews). However, we do not independently verify or guarantee venue quality, safety, seating availability, or operating hours. Venues may close or become unavailable without notice, and we do not control their policies or services.
The cost of any food, beverages, or venue purchases is not included in your subscription or use of the App and is entirely your responsibility. We may consider user preferences (e.g., ambiance, noise level, budget), but these are treated as general guidelines, not guarantees.
3. Safety and User Responsibility
You are solely responsible for your interactions with other users and your decision to attend any suggested meetups. We do not verify the identity, background, criminal history, or health status of any users. You agree to assume all risks in meeting others through the App.
We encourage you to:
Use good judgment and discretion when meeting others
Meet in public, well-lit spaces
Inform a trusted contact of your plans
Verify a venue’s hours and location before attending
While we may share venue details the day of or day before a scheduled meetup, we reserve the right to change the venue in response to availability or unforeseen circumstances.
We do not guarantee any minimum or maximum number of participants at a meetup. Budget suggestions (e.g. $, $$, $$$) are approximate and do not reflect exact menu pricing or availability. Users are responsible for reviewing menus and confirming a venue meets their needs.
You are expected to follow our behavioral and attendance policies outlined in our Terms of Service.
4. Restrictions
You may not:
Copy, modify, distribute, or sublicense the App;
Reverse engineer or decompile any part of the App;
Use the App for any unlawful or harmful purposes.
Use any automated means (including bots, scrapers, or crawlers) to access or interact with the App.
Impersonate any person or entity or otherwise misrepresent your affiliation in using the App.
Upload, post, transmit, or otherwise make available any content that is unlawful, offensive, defamatory, or infringes on the rights of others.
5. Subscription Terms
The App may offer auto-renewing subscription options that provide access to premium features. Subscription pricing and durations are displayed within the App at the time of purchase. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period. You are responsible for managing your subscription through your device settings to avoid being charged.
Subscription fees are billed through the applicable app store (e.g., Apple App Store or Google Play) and are subject to their billing terms and policies. You are responsible for managing your subscription, including cancellations, through your device settings. We do not issue refunds or credits for partial periods, except where required by law. All billing disputes must be resolved directly with the applicable platform.
6. Ownership
The App is licensed, not sold. All rights, title, and interest in and to the App, including all intellectual property rights, are and shall remain the exclusive property of 100 Coffees Inc. All trademarks, logos, and service marks displayed in the App are the property of the Company or its licensors.
7. Termination
We may suspend or terminate your license and access to the App at any time, with or without notice, for any violation of this Agreement. You may terminate your use of the App at any time by deleting it from your device.
Upon termination, Sections 6 (Ownership), 8 (Disclaimers), 9 (Limitation of Liability), and 11 (Governing Law and Dispute Resolution) shall survive.
8. Disclaimers
THE APP IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the App will be uninterrupted, error-free, or compatible with every device or operating system.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 100 COFFEES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE APP OR IN-PERSON MEETINGS FACILITATED THROUGH THE APP EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total liability exceed the amount you paid (if any) in the past twelve months for use of the App.
10. Promotions and Referrals
From time to time, we may offer promotional codes, referral programs, or limited-time offers. These are subject to additional terms and may be modified or discontinued at our discretion.
We reserve the right to determine eligibility and revoke or modify any promotions at any time without notice.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration in San Francisco, California before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitrator shall apply the laws of the State of Delaware to the extent not inconsistent with applicable federal or California law. Judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs unless the arbitrator determines otherwise.
You agree to resolve any disputes with us on an individual basis and waive any right to participate in a class, collective, or representative action.

13. Modifications
We may update this Agreement from time to time. Continued use of the App after changes become effective constitutes your acceptance of the revised Agreement. Material changes will be communicated via the App or email.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and 100 Coffees Inc. regarding your use of the App and supersedes any prior agreements, understandings, or communications, whether written or oral, relating to such subject matter.
